This Online Services Agreement constitutes a legally binding contract governing your access to and utilization of TaxxSavvy’s platform, CA-assisted tax filing, notice management, GST, accounting, and advisory solutions.

Section 01

Scope of Agreement

This Online Services Agreement (the "Agreement") is a legally binding contract between you (the "User", "Client", or "Subscriber") and TaxxSavvy (including its operating corporate entity, affiliates, and associates).

This Agreement regulates and governs your utilization of any of the following offerings provided across our digital portals, web platforms, and mobile interfaces:

  • The TaxxSavvy Income Tax Return Filing Service — Self-filing and Chartered Accountant-assisted ITR preparation and e-filing.
  • Tax Planning & Advisory Suite — Customized salary structuring, capital gains computation, deductions optimization, and wealth tax advisory.
  • Tax Notice Resolution & Scrutiny Representation — Professional response preparation for IT Department intimations, scrutiny, and Section 148 notices.
  • GST, TDS & Corporate Compliance — GST return filing, TDS reconciliations, ROC filings, and company incorporation services.
  • Any other related TaxxSavvy tax software or consultation service you select, pay for, or employ.
Mandatory Acceptance: By indicating your acceptance of this agreement or by accessing, duplicating, or otherwise employing the Products and Services, you explicitly agree to be bound by the terms and conditions outlined herein. If you do not accept these terms, you are not authorized to use the platform.
Section 02

License and Permitted Use

Subject to the conditions and provisions delineated in this Agreement, along with the prompt payment of all applicable fees, TaxxSavvy grants you a limited, non-exclusive, non-transferable, revocable license to access and utilize the Products and Services.

This License allows entry and utilization of the Products and Services solely in accordance with the terms of this Agreement and exclusively for:

  • Filing your own authentic tax returns, calculating taxes, and managing your statutory filings.
  • Filing tax returns for bona fide members of your immediate family where explicit written authorization has been granted.
Third-Party Restriction: The Products and Services may not be used for offering commercial tax guidance or commercial filing services to unrelated third parties unless explicitly licensed under a designated TaxxSavvy Professional/Partner tier. In the event you intend to access the platform on behalf of other parties, you must ensure lawful authority and full compliance with all relevant tax statutes and privacy regulations.
Section 03

Eligibility to Use the Platform

You are eligible to register, access, and execute filings through the TaxxSavvy platform only if you satisfy all of the following criteria:

  • You are 18 years of age or older. If you are acting as a legal guardian on behalf of a minor, you affirm that you have the lawful capacity to represent them.
  • You possess the legal competence under the Indian Contract Act, 1872 to enter into a legally binding contract and are not barred from receiving services under applicable Indian laws.
  • You agree to abide by all platform rules, statutory documentation requirements, and verify that all information provided is true, correct, and complete.
  • You confirm that all statutory fees, taxes, and service payments originate from your legitimate bank account or payment instruments authorized for your use.
Section 04

Geographical Locations & Jurisdiction

TaxxSavvy operates primarily for services governed by Indian statutory laws (including the Income Tax Act 1961, GST Act 2017, and Companies Act 2013).

Certain specialized services may not be available in all domestic or international geographical regions. Depending on your location and tax residency status (Resident, RNOR, NRI, OCI), specific provisions, documentation prerequisites, and compliance protocols may vary.

Section 05

Restrictions & Prohibited Actions

You are strictly prohibited from engaging in the following actions, directly or indirectly:

  • Redistributing, sublicensing, selling, renting, leasing, loaning, or transferring the Products and Services to any unauthorized party.
  • Reverse engineering, decompiling, disassembling, deciphering, or attempting to discover the source code, logic, or algorithms of the platform.
  • Duplicating, scraping, framing, or harvesting platform content, tax calculators, or software architecture electronically or manually.
  • Removing, obscuring, or altering any copyright notices, trademarks, or proprietary marks of TaxxSavvy.
  • Uploading forged Form-16s, fake deduction proofs, fraudulent invoices, or misleading financial documentation.
  • Interfering with or disrupting the integrity, performance, or security of our cloud infrastructure and connected servers.
Section 06

Intellectual Property Rights

All rights, titles, and interests in and to the TaxxSavvy website, software, tax optimization algorithms, UI/UX designs, logos, graphics, brand identifiers, and educational content are and shall remain the exclusive intellectual property of TaxxSavvy and its licensors.

Nothing in this Agreement grants you any right, title, or interest in our trademarks, trade names, or proprietary systems other than the limited right of personal use expressly granted herein.

Section 07

Privacy & Confidential Data Handling

Protecting your confidential tax and personal data is our utmost priority. Our collection, processing, and storage of PAN, Aadhaar, salary slips, Form 26AS, AIS/TIS data, and bank records are strictly governed by our Privacy Policy.

Bank-Grade 256-bit Encryption: All sensitive financial records transmitted during consultation and filing are encrypted at rest and in transit, complying fully with the Information Technology Act, 2000 and SPDI Rules.
Section 08

E-Filing Availability & Government Portal Downtime

While TaxxSavvy makes every reasonable commercial effort to ensure uninterrupted service availability, electronic filing functionality is reliant on third-party government gateways, including the Income Tax Department e-Filing Portal (incometax.gov.in) and the GSTN portal.

TaxxSavvy shall not be held liable for filing delays, gateway timeouts, server congestion, scheduled maintenance, or unresponsiveness originating from Income Tax Department or GSTN servers, particularly during peak deadline dates.

Section 09

Online Assisted Services & CA Consultation

For Assisted Filing and CA Advisory plans, TaxxSavvy assigns certified Chartered Accountants and experienced tax advisors to assist in computing your tax liability, optimizing deductions, and uploading returns.

  • Assistance is rendered strictly based upon the source documents (Form-16, 26AS, AIS, capital gains statements) uploaded and representations made by you.
  • It remains the taxpayer’s sole legal responsibility to review the final computation and draft return before granting authorization for submission to the IT Department.
Section 10

Automatic Importing of Tax Information (Form 26AS / AIS / Prefill)

TaxxSavvy may provide features allowing you to automatically fetch or prefill tax data from the Income Tax e-filing portal via authorized OTP or ERI (E-Return Intermediary) integrations.

You acknowledge that prefilled figures represent data reported by third-party reporting entities (employers, banks, mutual funds, stockbrokers). You are obligated to verify the accuracy of prefilled entries and report any omitted income before final verification.

Section 11

Accurate Calculations Guarantee

TaxxSavvy diligently maintains its mathematical tax calculation engines in accordance with official tax slabs, rebate provisions (Sec 87A), surcharges, and statutory amendment acts passed by Parliament.

If an arithmetic error in TaxxSavvy’s computation engine directly causes an inaccurate tax calculation based on accurate data input, TaxxSavvy will rectify the computation without additional service charge.

Section 12

Qualifications for Reimbursement / Penalty Claims

In the rare circumstance where a statutory penalty or interest under Section 234A/B/C is imposed solely due to a proven calculation defect in TaxxSavvy’s software (and not due to inaccurate user inputs, missing disclosure, delayed document upload, or IT Department adjustments), you may be eligible for service compensation subject to:

  • Prompt written notification to TaxxSavvy within 30 days of receiving the assessment intimation.
  • Submission of copies of the original notice, intimation order under Sec 143(1), and payment receipts.

In all cases, TaxxSavvy’s maximum financial liability for compensation shall be strictly capped at the fee paid by you for the affected service.

Section 13

Disclaimer of Warranties & Limitation of Liability

Except as explicitly guaranteed in this Agreement, all Products, Services, software, calculators, and informational materials are provided on an "AS IS" and "AS AVAILABLE" basis without warranty of any kind.

TaxxSavvy expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, or error-free continuous operation. TaxxSavvy does not guarantee that the Income Tax Department or GST authorities will accept a tax position without scrutiny or notice.

Section 15

Payments, Service Fees & Invoicing

Pricing for our various ITR plans, GST packages, CA consultations, and corporate services are prominently displayed on our pricing pages and checkout screens.

  • All fees are payable in Indian Rupees (INR) and are inclusive or exclusive of applicable Goods and Services Tax (GST) as specified at checkout.
  • TaxxSavvy accepts payments via authorized RBI-licensed payment gateways including UPI, Net Banking, Debit/Credit Cards, and Wallets.
  • If during the preparation of your return additional complexities arise (e.g. undisclosed foreign assets, high-volume algorithmic trading, multiple capital gains computations), an upgraded plan fee may apply after prior discussion.
Section 16

Refund & Cancellation Policy

Our refund provisions are detailed in our dedicated Refund Policy.

  • Before Service Initiation: If a cancellation request is submitted before a CA or tax advisor has commenced working on your documents, a full or partial refund (less nominal payment gateway charges) will be granted.
  • After Service Initiation: Once tax calculations have been drafted, consultations conducted, or returns uploaded to the e-filing portal, professional service fees become non-refundable.
Section 17

Account Security & User Responsibilities

You agree to maintain reasonable and prudent security precautions to protect any passwords, OTPs, and login credentials associated with your TaxxSavvy profile.

You must notify TaxxSavvy immediately at taxxsavvy.ind@gmail.com if you suspect any unauthorized access, credential leakage, or suspicious activity on your account.

Section 18

Platform Articles, Guides & User Comments

TaxxSavvy publishes educational guides, market commentary, mutual fund explanations, and tax planning articles for general informational purposes only. Such content does not constitute customized financial investment advice.

Users participating in community blogs or comment sections undertake that submissions shall not be defamatory, abusive, offensive, or infringe any copyright. TaxxSavvy reserves the right to moderate or delete comments violating community standards.

Section 19

Dispute Resolution & Governing Jurisdiction

This Agreement shall be interpreted and governed in accordance with the laws of the Republic of India.

The parties agree that any legal dispute, claim, or proceeding arising out of or relating to this Agreement, or the services rendered by TaxxSavvy, shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.

Section 20

Indemnification

You agree to defend, indemnify, and hold harmless TaxxSavvy, its parent company, directors, officers, certified professionals, employees, and agents from and against all claims, liabilities, losses, damages, penalties, costs, and legal fees resulting from:

  • Any breach by you of this Agreement or false representations made regarding your income, deductions, or documentation.
  • Any violation of applicable tax laws, third-party rights, or fraudulent tax evasion attempts.
Section 21

Termination of Services

Without prejudice to any other remedies, TaxxSavvy may immediately suspend or terminate your account and service access if you fail to comply with any provision of this Agreement, fail to clear outstanding fees, or engage in abusive conduct towards support staff and CAs.

Upon termination, your license to use the platform terminates immediately, while provisions regarding confidentiality, IP rights, and limitation of liability shall survive.

Section 22

Calling, SMS & WhatsApp Communication Policy

By providing your phone number on TaxxSavvy, you grant explicit consent to receive service-related voice calls, OTP SMS, filing status updates, and WhatsApp messages from our tax advisory team, even if your number is registered on the National Do Not Call (NDNC) or National Customer Preference Register (NCPR).

You confirm that such communications are customer-requested service transactional notifications and do not constitute unsolicited commercial communications under TRAI Telecom Commercial Communications Customer Preference Regulations.
